Terms of Service (GoldMap.app)

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the GoldMap.app platform, including all related websites, applications, and services (collectively, the "Service"). The Service is operated by GoldStream Enterprises LLC ("GoldMap.app," "we," "us," or "our").

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.

2. Nature of the Service

GoldMap.app provides a technology platform that facilitates communication and interaction between users. GoldMap.app does not buy, sell, broker, or otherwise participate in transactions involving gold or any other assets.

GoldMap.app does not:

• take possession or custody of any assets;
• process or facilitate payments;
• provide escrow, settlement, or clearing services;
• act as an intermediary in transactions; or
• verify the authenticity, ownership, or quality of any assets.

All transactions are conducted solely between users.

3. No Agency Relationship

GoldMap.app is not a broker, dealer, agent, or fiduciary. No partnership, joint venture, or agency relationship is created between GoldMap.app and any user. GoldMap.app provides software infrastructure only.

4. Eligibility

You must be at least thirteen (13) years of age to access the Service and at least eighteen (18) years of age to engage in transactions. By using the Service, you represent and warrant that you meet these requirements. You also affirm that you are at least 18 years old when engaging in any transaction and that any use in violation of this requirement is unauthorized.

5. User Accounts

You agree to provide accurate and complete information when creating an account and to keep such information current. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

GoldMap.app reserves the right to suspend, restrict, or terminate accounts at its sole discretion, with or without notice.

6. Identity Verification

6.1 Verification Services

GoldMap.app may offer identity verification features, which may include submission of government-issued identification, biometric data (such as facial geometry or liveness checks), contact verification, and the use of third-party verification providers.

6.2 Purpose of Verification

Verification is provided solely for the purposes of enhancing platform integrity, deterring fraud, complying with internal trust and safety standards, creating records of user activity, and assisting users in exercising their own due diligence.

6.3 No Guarantee of Identity

You acknowledge and agree that any verification performed by GoldMap.app does not constitute a guarantee of identity, legitimacy, or trustworthiness. Verification does not confirm that a user is who they claim to be and does not eliminate the risk of fraud, impersonation, or misrepresentation.

6.4 Limitations of Verification

You further acknowledge that there is no method of identity verification that is infallible. Identity verification systems, including those used by governments, financial institutions, and other regulated entities, are subject to circumvention through forged documentation, stolen credentials, synthetic identities, and other methods. Physical, in-person interactions do not eliminate these risks.

Verification on GoldMap.app is provided as a measure of due diligence and recordkeeping only and shall not be interpreted as proof of identity or a guarantee of authenticity.

6.5 User Reliance

You agree not to rely solely on any verification status and to conduct your own independent evaluation and due diligence before engaging with other users.

6.6 Disclaimer of Liability

GoldMap.app shall have no liability for any loss, damage, or harm arising from reliance on verification, including but not limited to losses resulting from fraud, impersonation, or misrepresentation.

7. Marketplace Disclaimer

GoldMap.app is not a party to any transaction conducted through the Service. GoldMap.app does not review, verify, or guarantee listings, pricing, availability, or user representations.

All communications, negotiations, and transactions occur solely between users, and users bear full responsibility for their actions and decisions.

8. No Financial Services

Except for payments made directly to GoldMap.app for premium features or subscriptions, GoldMap.app does not provide financial services of any kind. This includes, without limitation, payment processing, escrow, custody, or transaction guarantees for user-to-user dealings. Users are solely responsible for arranging and completing any financial transactions between themselves.

9. Risk Acknowledgment

You acknowledge that use of the Service involves inherent risks, including but not limited to fraud, deception, inaccurate information, and disputes between users. You agree to exercise caution and to independently verify all information and counterparties.

10. In-Person Interactions

The Service may facilitate in-person meetings between users. You acknowledge and agree that you assume all risks associated with such interactions, including but not limited to theft, robbery, physical injury, death, and loss or damage to property.

GoldMap.app does not provide supervision, monitoring, or protection in connection with in-person interactions.

11. User Responsibilities

You are solely responsible for:

• verifying the identity and credibility of other users;
• verifying the authenticity and ownership of assets;
• complying with all applicable laws and regulations;
• fulfilling any tax or reporting obligations; and
• the execution and outcome of all transactions.

12. User Content

You retain ownership of any content you submit to the Service. By submitting content, you grant GoldMap.app a worldwide, perpetual, irrevocable, royalty-free, and sublicensable license to use, reproduce, modify, distribute, and display such content for purposes of operating, improving, and promoting the Service.

You represent and warrant that you have all rights necessary to grant this license and that your content does not violate any laws or third-party rights.

13. Prohibited Conduct

You agree not to:

• engage in fraudulent or deceptive conduct;
• impersonate any person or entity;
• offer or transact in illegal goods or services;
• harass, threaten, or abuse other users;
• interfere with or disrupt the Service; or
• attempt to circumvent security or verification systems.

GoldMap.app reserves the right to take any action it deems appropriate in response to violations of this section.

14. Third-Party Services

The Service may incorporate or rely upon third-party services. GoldMap.app does not control and is not responsible for such services. Your use of third-party services is subject to their respective terms and policies.

15. Google Services

GoldMap.app may utilize Google services for authentication and related functionality. In connection with such services, GoldMap.app may receive limited account information such as identifiers, email addresses, and authentication tokens. GoldMap.app does not access personal content from Google services such as Gmail or Google Drive.

Google operates independently and is responsible for its own data handling practices.

16. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by law, GoldMap.app disclaims all warranties, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

GoldMap.app makes no representations or warranties regarding the accuracy, reliability, or completeness of the Service or any user-provided information.

17. Limitation of Liability

To the maximum extent permitted by law, GoldMap.app shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, loss of data, loss of assets, personal injury, or death arising out of or related to the use of the Service.

GoldMap.app's total liability for any claim shall not exceed one hundred U.S. dollars (USD $100) or the amount paid by you to GoldMap.app in the twelve (12) months preceding the claim, whichever is greater.

18. Indemnification

You agree to defend, indemnify, and hold harmless GoldMap.app and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Service, your transactions, your content, or your violation of these Terms or applicable law.

19. Dispute Resolution

19.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict-of-law principles.

19.2 Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association in accordance with its applicable rules. The Federal Arbitration Act shall govern the interpretation and enforcement of this provision.

19.3 Class Action Waiver

You agree that any claims shall be brought solely in your individual capacity and not as part of any class, collective, or representative proceeding.

19.4 Exceptions

Nothing in this section shall prevent either party from seeking relief in small claims court or from seeking injunctive or equitable relief to protect intellectual property or prevent unauthorized use of the Service.

19.5 Jury Trial Waiver

To the extent permitted by law, you waive any right to a trial by jury.

19.6 Arbitration Opt-Out

You may opt out of this arbitration agreement by providing written notice within thirty (30) days of first accepting these Terms. Notice must be sent to legal-notices@goldmap.app and must include sufficient information to identify your account. If you opt out, the arbitration provisions will not apply.

20. Limitation Period

Any claim arising out of or related to the Service must be brought within twelve (12) months after the cause of action arises, or such claim shall be permanently barred.

21. Termination

GoldMap.app may suspend or terminate your access to the Service at any time, with or without notice, for any reason.

22. Modifications

GoldMap.app reserves the right to modify these Terms at any time. Continued use of the Service after any modification constitutes acceptance of the updated Terms.

24. Entire Agreement

These Terms constitute the entire agreement between you and GoldMap.app regarding the Service and supersede all prior agreements or understandings.

25. Survival

All provisions which by their nature should survive termination shall survive, including but not limited to provisions relating to liability, indemnification, and dispute resolution.

26. Severability and No Waiver

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect. A failure by GoldMap.app to enforce any right or provision under these Terms does not constitute a waiver of that right or provision.

27. Assignment

You may not assign or transfer these Terms or any rights or obligations under them without GoldMap.app's prior written consent. GoldMap.app may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.

28. Electronic Communications and Notices

You consent to receive notices and communications from GoldMap.app electronically, including by email, in-app notice, or posting through the Service. Electronic notices satisfy any legal requirement that such communications be in writing.

29. Export Controls and Sanctions Compliance

You represent and warrant that you are not located in, under the control of, or a national or resident of any country subject to U.S. embargo, and that you are not listed on any U.S. government denied-party or sanctions list. You agree not to use the Service in violation of applicable export control or sanctions laws.

30. Intellectual Property Rights

The Service, including software, trademarks, logos, and other proprietary materials, is owned by GoldMap.app or its licensors and is protected by applicable intellectual property laws. Except as expressly permitted by these Terms, no license or right is granted to use GoldMap.app intellectual property without prior written consent.

31. Force Majeure

GoldMap.app will not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, internet or utility failures, labor disputes, civil unrest, war, terrorism, governmental actions, or failures of third-party service providers.
